STANDARD CONTRACT TERMS AND CONDITIONS FOR PURCHASING KINGSONG PRODUCTS

This Agreement (the “Agreement”) is entered into by and between the purchaser (the “Purchaser”) and Demo Company Ltd. (“KingSong”), a company organized and existing under the laws of Bulgaria, with a registered address at Zlatorog 24, 4006 Plovdiv, Bulgaria.

1. PRICING AND PAYMENT
   
   1.1 Pricing: Our pricing is based on the volume of the order and all prices are quoted in Euros (€). Any applicable VAT is not included in the quoted prices.
   
   1.2 Ordering Process: The customer informs us of the desired products for purchase. We then send the customer a quotation via email. Once the customer confirms the quotation, we create a sales order.
   
   1.3 Payment Terms: If the goods have not yet reached our warehouse, the customer can reserve them by paying a deposit of 30% of the total value of the goods. If the goods are available and ready for shipment, full payment should be made before dispatch. All payments should be made to the bank account in Euros indicated on the invoice, with all transaction costs borne by the buyer.
   
   1.4 Price Changes: Prices are subject to change at any time and Demo Company Ltd. reserves the right to modify prices as necessary due to market conditions or other factors.
   
   1.5 Late Payment: Payments not received by the due date will accrue late charges at the rate of 1.5% of the unpaid balance per month, or the maximum rate permitted by law, whichever is lower.
   
   1.6 Currency Fluctuations: All payments must be made in Euros exactly as indicated on the invoice. Demo Company Ltd. is not responsible for any currency fluctuations that may affect the conversion to local currency.
   
   1.7 Invoices: The invoice will be issued on the day the courier collects the goods for delivery. The invoice will be based on the sales order and will reflect the agreed pricing.
   
   1.8 Order Cancellations or Modifications: Once an order has been placed and confirmed, it may not be possible to modify or cancel it. However, if a modification or cancellation is necessary, please contact us as soon as possible. While we cannot guarantee we will be able to accommodate your request, we will do our utmost to meet your needs. Be aware that cancellations or modifications might be subject to fees, depending on the stage of the order process.
   
   
2. DELIVERY
   
   

2.1 Shipping Method: For smaller shipments, we utilize DHL, whereas for larger ones intended for pallet loading, we collaborate with various providers to secure the most cost-effective price.

2.2 Delivery Timeframes: Delivery timelines depend on the courier service and the destination. While we strive to ensure timely delivery, please note that occasional delays may occur due to factors beyond our control. We appreciate your understanding in such instances.

2.3 Shipping Costs: Depending on the pricing model utilized and our preliminary agreement, shipping costs may be borne either by KingSong Europe or the customer. We aim to clarify this during the sales order confirmation to ensure transparency and avoid any confusion.

2.4 Title and Risk: All shipments are insured, and the cost of insurance is included in the shipping cost. Therefore, the risk of any loss or damage during transit is borne by the insurance company. The transfer of ownership, however, occurs when the goods are received by the customer.

2.5 Delays: While we aim to ensure all orders are delivered within the promised timeframe, unforeseen circumstances such as adverse weather, customs delays, or courier issues may occasionally cause delays. In such cases, we will communicate promptly and work to resolve the issue as quickly as possible.

3. WARRANTY AND SUPPORT
   
   3.1 Warranty Terms: Each business customer of Demo Company Ltd. is entitled to warranty service. The warranty only covers manufacturing defects present at the time of delivery and appearing during normal operation. The warranty covers the battery for one year and the motor and motherboard for two years. The warranty does not extend to products/elements susceptible to rapid wear or damages related to usage (not deemed factory defects), such as inner tubes, tires, cosmetic parts, plastics, mudguards, etc. The warranty is non-transferable and applies ONLY to the direct buyers.
   
   3.2 Claim Procedure: In the event of a warranty claim, the buyer should notify Demo Company Ltd. by providing video or photo evidence of the warranty incident via email at support@odoo.bg or direct chat message in any of communication channels. If necessary, additional instructions will be provided to further diagnose the issue and determine which part is defective and needs to be replaced.
   
   3.3 Spare Parts Supply Timeframe
   
   Demo Company Ltd. is responsible for sending out replacement spare parts to the buyer. Upon approval of a warranty claim, we strive to dispatch the necessary parts swiftly. Please note that if a part is not currently in stock, acquiring it may incur additional time. The buyer is responsible for providing repair services to their customers.
   
   3.4 Warranty Exclusions
   
   The warranty is void in case of damages caused by:

• Removal or alteration of the serial number
• Fall damage or dropping the product
• Damage from riding in severe weather
• Unauthorized repairs or modifications
• Use of non-standard chargers, batteries, and peripherals
• Violations of the device's technical construction
• Faults in the electrical network or force majeure circumstances
• Battery damage from non-use or heavy use
  
  In the above cases, Demo Company Ltd. reserves the right to refuse warranty service.

RETURNS AND REFUNDS

All sales are final. Returns or refunds are permissible only under exceptional circumstances, agreed upon by both Demo Company Ltd. and the buyer, and subject to applicable laws and regulations. Any agreed-upon returns must be in unused condition and in their original packaging.

INDEMNITY 

The buyer agrees to indemnify and hold harmless Demo Company Ltd., its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from the use or misuse of the products, violation of these terms, or violation of any rights of a third party.

LIMITATION OF LIABILITY

Demo Company Ltd.'s liability for any claim relating to the products or use of the products, regardless of the form of action, is limited to the purchase price of the products purchased.

FORCE MAJEURE

Demo Company Ltd. is not liable for failure to fulfill its obligations due to causes beyond its reasonable control, including acts of God, acts of war, riots, fire, flood, or other disaster, strikes, or changes in governmental laws or regulations.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of Bulgaria, and the parties consent to the exclusive jurisdiction and venue of the Bulgarian courts. Any disputes arising out of this Agreement shall be resolved amicably, where possible, or through arbitration.

TERMINATION

Demo Company Ltd. reserves the right to terminate this agreement at any time for any reason, including but not limited to breaches of these terms, without penalty. The buyer has the right to terminate this agreement in the event Demo Company Ltd. breaches these terms and fails to remedy such breach within a reasonable period.
